1. Acceptance of Terms

By accessing or using pdfxlsx (the "Service"), operated by pdfxlsx ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not use the Service.

2. Description of Service

pdfxlsx is a web-based platform that converts PDF documents into Microsoft Excel (.xlsx) format. The Service includes a web application for manual file uploads and conversions, a REST API for programmatic access, batch processing capabilities, team collaboration features, and custom column mapping tools. The Service is provided on a subscription basis with different tiers offering varying levels of functionality and usage limits.

3. Accounts and Registration

To use the Service, you must create an account by providing your name, a valid email address, and a password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

Each account belongs to a team. The team owner is responsible for managing team membership, billing, and ensuring all team members comply with these terms. Team members share the conversion quota associated with the team's subscription plan.

4. Subscriptions and Payment

pdfxlsx offers multiple subscription tiers with different pricing, features, and usage limits. Subscriptions are billed at the team level on a monthly or annual basis. All prices are in US Dollars unless otherwise stated. Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

You may upgrade, downgrade, or cancel your subscription at any time from your account settings. When you cancel, your subscription remains active until the end of the current billing period. No refunds are provided for partial billing periods, except during the 14-day money-back guarantee period for new subscriptions.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not:

  • Upload files that contain malware, viruses, or other harmful code.
  • Attempt to circumvent usage limits, rate limits, or access controls.
  • Use the Service to process documents you do not have the right to access or convert.
  • Reverse engineer, decompile, or disassemble the Service or its underlying technology.
  • Resell, sublicense, or distribute the Service to third parties without our written consent.
  • Use automated tools to scrape, crawl, or extract data from the Service beyond the provided API.
  • Interfere with or disrupt the Service or the servers and networks connected to the Service.

6. Your Content

You retain full ownership of all documents you upload to the Service. We do not claim any intellectual property rights over your content. By uploading files, you grant us a limited, temporary license to process your files solely for the purpose of performing the conversion you requested. This license terminates when your files are deleted from our servers (automatically within 24 hours of conversion).

You represent and warrant that you have the right to upload and convert any files you submit to the Service, and that doing so does not violate any laws, regulations, or third-party rights.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance. Enterprise customers with SLA agreements are governed by the specific uptime commitments in their service level agreement.

8. API Usage

Access to the pdfxlsx API is governed by your subscription plan. API tokens are confidential credentials that provide full access to your account's conversion capabilities. You are responsible for keeping your API tokens secure and for all activity that occurs using your tokens. Rate limits apply to API usage and vary by subscription tier. Excessive API usage that impacts service quality for other users may result in temporary throttling.

9. Limitation of Liability

To the maximum extent permitted by law, pdfxlsx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or loss of business opportunities. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that conversion results will be 100% accurate for all document types, that the Service will be error-free, or that the Service will meet your specific requirements.

11. Termination

We may suspend or terminate your access to the Service at any time if you violate these terms, if your account is involved in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination, after which it will be permanently deleted.

12. Changes to Terms

We may update these terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from or related to these terms or the Service shall be resolved in the courts located in Delaware.
